Volunteer Agreement

This Agreement is made between Environment America, Inc. (D/B/A Environment Arizona). a non-profit corporation exempt from taxation under Section 501(c)(4) of the Internal Revenue Code (“Organization”), and the user, an individual over the age of 18 (“Volunteer”).

WHEREAS, Volunteer wishes to provide services on a volunteer basis, without compensation, to assist the Organization, and the Organization wishes to accept such assistance in carrying out its tax exempt mission;

NOW THEREFORE, in consideration of their mutual promises, the sufficiency of which is hereby acknowledged, the parties agree as follows:

1. Volunteer Responsibilities and Legal Compliance

The Volunteer agrees to perform one or more of the tasks described below, as assigned by the Organization, to the satisfaction of the Organization and in accordance with the terms of this Agreement.

• Non-partisan voter turnout calling using an autodialer (“CallHub”).

The Volunteer has no expectation of receiving compensation for his/her work, and is not entitled to employment with the Organization at the end of the volunteer period.

The Volunteer understands and agrees that federal and state law, including but not limited the Telephone Consumer Protection Act, will apply the activities Volunteer completes on the Organization’s behalf. In order to comply with these laws, it’s critical that Volunteer comply with all instructions provided by the Organization including:

• Other tasks as assigned.

Volunteer shall begin providing volunteer services on or after the date of execution of this Agreement. The volunteer period may be terminated by either party at any time by giving to the other party written notice.

3. Place of Work

Volunteer will primarily provide services in Maricopa County. However, some events may require travel. Volunteer shall have the option to participate or decline to participate in such events.

4. Expense Reimbursement

Volunteer will be reimbursed for reasonable travel and personal expenses in connection with volunteer services completed for the Organization, subject to the following conditions: (a) Volunteer shall receive permission from the Organization in advance of incurring such expenses; (b) Volunteer shall provide reasonable documentation (e.g., receipts, invoices) concerning such expenses; and (c) the maximum amount the Organization will reimburse Volunteer for such expenses is $50 per month.

5. Insurance

Volunteer is not an employee of the Organization and is not covered by insurance, if any, carried by the Organization. Volunteer must carry and cover the costs associated with his/her own insurance, including but not limited to coverage for health, auto, and theft and/or damage to personal property.

6. Supervisor

Volunteer will be supervised by and report to Bret Fanshaw or another supervisor selected by the Organization.

7. Confidentiality

Volunteer shall take all proper steps to keep confidential all Organization information which might reasonably be regarded as commercially sensitive or confidential and which is disclosed to or obtained by him/her in the course of volunteering. Volunteer is prohibited from using confidential information in any manner not authorized by the Organization, including but not limited to using confidential information for Volunteer’s own personal or business purposes. Volunteer shall return upon demand and/or at the end of the volunteer period (without retaining copies) any such information to the Organization. Confidential Information includes, but is not limited to, anything designated as Confidential, all lists including names, phone numbers and other contact information, whether such confidential information belongs to the Organization’s members or members of the public more generally; and all materials revealing financial information about the Organization’s donors such as credit card and bank account numbers.

8. Intellectual Property Rights

Volunteer acknowledges that the copyright and other intellectual property rights in any material produced by the Volunteer in the course of performing services under this Agreement shall be vested in the Organization, and Volunteer waives any rights he/she may have in such material.

9. Waiver and Release

Volunteer hereby waives and releases the Organization and its officers, directors and affiliates from any and all liability for injury sustained, health conditions that may arise, and other loss, damage or injury to Volunteer that occurs during the course of the volunteer period.

10. No Agency

It is not intended that this Agreement should create any employment relationship, agency or partnership between the parties, and Volunteer shall have no authority to commit or bind the Organization in contract or otherwise.

11. Survival

Relevant portions of this Volunteer Agreement, including Sections 1, 4, 8, 9, and 10 shall survive the termination of the volunteer period.

12. Applicable Law

This Agreement shall be governed by the laws of Colorado, without regard to conflicts of laws principles.

This Agreement does not constitute an employment agreement but rather sets forth the goals, intent and details of the arrangement between Volunteer and the Organization.
